📝 The Short Version (Plain English)

We built PromptForge™ so you can create, manage, and share AI prompts — and access large language models through trusted providers.

Here's the gist of what you need to know:

  1. You own your stuff – The prompts and content you create are yours. You grant us permission to store and process them so we can run the Service.
  2. We own our stuff – The platform, software, and branding belong to us. Please don't copy or misuse them.
  3. AI isn't perfect – Outputs may be wrong, incomplete, or biased. Always double-check before using them for important decisions.
  4. Be responsible – No illegal, harmful, or abusive use. Don't try to break or game the system.
  5. Your data – We protect it with industry-standard security. We don't sell your personal info. See our Privacy Policy for details.
  6. We may change things – Features, pricing, or terms may change. We'll notify you if it's a big change.
  7. Ending your account – You can leave at any time. We can suspend or terminate accounts that break our rules.
  8. Disputes – If there's a disagreement, we'll try to solve it. If not, it'll be handled through arbitration in Nevada.
  9. By using PromptForge™, you agree to the full Terms below — they're the legally binding version.

The Legal Version

Welcome to PromptForge™, a prompt management and marketplace platform owned and operated by i49 Group, Inc., a Nevada corporation (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of PromptForge™, including our website, mobile applications, APIs, marketplace, and related services (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.

1. Service Overview

PromptForge™ allows users to:

  • Create, manage, and organize prompt and context templates
  • Access large language models (LLMs) through integrated third-party AI providers
  • Share and discover prompts in a community marketplace
  • Collaborate on prompt design, testing, and deployment

We integrate with third-party AI model providers (e.g., OpenRouter) to deliver various AI capabilities.

2. Eligibility and Account Registration

2.1 Minimum Age

You must be at least 13 years old to use the Service. If under 18, you must have consent from a parent or legal guardian.

2.2 Organizational Use

If you are acting on behalf of an organization, you confirm you have the authority to bind that entity to these Terms.

2.3 Account Information

You agree to provide accurate, current, and complete account details and keep them updated. You are responsible for safeguarding your login credentials and all activity under your account.

3. Plans, Pricing, and Payments

3.1 Service Plans

  • Free Plan – Limited monthly credits, with option to purchase more
  • Pro Plan – Paid monthly subscription with higher allocations
  • Pro Plus / Custom – Advanced enterprise features, priority support, compliance options

3.2 Billing

  • Subscription fees are billed in advance and are non-refundable, unless stated otherwise
  • One-time credit purchases are charged immediately
  • All payments are in USD
  • By subscribing, you authorize recurring billing to your payment method

3.3 Price Changes

We may adjust pricing with 30 days' advance notice. Increases apply to future billing periods only.

3.4 Taxes

You are responsible for any applicable taxes, duties, or fees imposed by authorities.

4. Acceptable Use

4.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business purposes.

4.2 Prohibited Activities

You must not:

  • Violate laws or regulations
  • Access or use the Service without authorization
  • Interfere with performance or security
  • Reverse engineer or copy the Service
  • Use the Service to build competing products
  • Share credentials or accounts
  • Infringe third-party IP rights
  • Generate harmful, misleading, or illegal content

4.3 AI Use Guidelines

  • AI outputs may be inaccurate or incomplete; you are solely responsible for verifying accuracy
  • Do not rely on AI for legal, medical, financial, or safety-critical advice without human review
  • You must not generate:
    • Disallowed or illegal content (hate speech, harassment, threats, CSAM, etc.)
    • Content intended for autonomous decision-making in life-threatening situations

5. Content and Intellectual Property

5.1 Your Content

You retain all rights to content you create (“Your Content”). By using the Service, you grant us:

  • A worldwide, royalty-free license to host, store, process, and display Your Content to provide the Service
  • Rights to create backups and maintain system reliability
  • Optional consent (if chosen) for anonymized analytics or model improvement

5.2 Marketplace Content

If you submit prompts to the marketplace:

  • They are licensed under MIT License (or other designated open license)
  • You represent you have the rights to submit and share them
  • Other users may freely use, modify, and redistribute them under that license

5.3 Company IP

All Service elements (software, models, designs, algorithms, trademarks) are owned by us or licensors.

6. Privacy and Data Protection

6.1 Data Practices

  • Prompt and context templates are stored to provide the Service
  • Conversations with AI models are not stored or retained unless explicitly enabled by you
  • For Enterprise customers, we offer enhanced compliance and data residency options

6.2 Security

We implement industry-standard encryption, access controls, and monitoring.

6.3 Privacy Policy

Our Privacy Policy (incorporated by reference) explains how we handle your information.

7. Third-Party Services

  • AI outputs and third-party integrations are subject to those providers' terms
  • We are not responsible for third-party service availability or content accuracy

8. Compliance & Enterprise Features

  • GDPR, CCPA, and other applicable compliance features for enterprise accounts
  • Optional Service Level Agreements for uptime guarantees

9. Disclaimers & Limitation of Liability

9.1 No Warranties

The Service is provided “AS IS”, without warranties of any kind.

9.2 AI Output Disclaimer

We do not guarantee the accuracy, legality, or suitability of AI outputs.

9.3 Liability Cap

Our total liability shall not exceed the greater of:

  • Amount paid by you in the last 12 months, or
  • $100 USD

10. Indemnification

You agree to indemnify us against claims from:

  • Your use of the Service
  • Your violation of laws or rights
  • Content you generate or upload

11. Termination

We may suspend or terminate access for any reason, including violations. Upon termination:

  • Your access ends immediately
  • Marketplace content remains under its license
  • Certain obligations (e.g., payment, indemnity) survive termination

12. Dispute Resolution

12.1 Governing Law

Nevada law applies.

12.2 Arbitration

Disputes will be resolved by binding arbitration in Nevada under AAA rules.

12.3 Class Action Waiver

You waive participation in class actions.

13. Additional Provisions

  • Export Controls – You agree to comply with applicable export laws
  • Force Majeure – We're not liable for delays outside our control
  • Electronic Communications – You consent to receive notices electronically
